Agri Spring 2025 Promotional Offer Terms and Conditions

1. Promotional Offer
   • READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PARTICIPATING. YOU WILL BE DEEMED TO HAVE ACCEPTED THESE TERMS AND CONDITIONS AND AGREED TO BE BOUND BY THEM WHEN PARTICIPATING IN THIS PROMOTION. AMONG OTHER THINGS, THESE TERMS AND CONDITIONS INCLUDE LIMITATIONS OF YOUR RIGHTS AND REMEDIES.
   • The Promoter of this offer is Certas Energy UK Limited (Company number 04168225) of 1st Floor Allday House, Warrington Road, Birchwood, United Kingdom, WA3 6GR (“Promoter“).
   • This offer relates to the award of free promotional items (“Incentive Items” – as set out in paragraph 4 of these terms and conditions) upon the placing of a qualifying order, subject to these terms and conditions (“Promotion”) and is open to the Promoter’s customers who are directly sent a promotional email or direct mailer from the Promoter (“Promotion Message“) and who otherwise meet the requirements of paragraph 2 of these terms and conditions (“Eligibility Criteria”).

2. Eligibility Criteria
   • To be eligible to obtain the benefits of the promotion, you must:
     • Comply with these terms and conditions;
     • Have received a Promotion Message from the Promoter;
     • place an order for at least 1,000 litres of a single eligible Product type, with such order to be delivered within three weeks of being accepted by the Promoter in accordance with the Promoter’s general terms and conditions (“First Order”).

• For the avoidance of doubt:
  • Orders of more than one Product type that collectively meet the 1,000-litre requirement will not satisfy the Eligibility Criteria;
  • Orders of a single Product type that have been placed in more than one transaction will not meet the Eligibility Criteria. To meet the minimum order requirements, the order must be placed in one transaction.

3. Eligible Products
   • In these terms and conditions, references to “Products” means any of the following:
     • Kerosene (041/341)
     • Therma35 (261)
     • Derv (078/431)
     • HVO (402/429)
     • GTL (296/267)

4. Incentive Items
   • Customers who meet the Eligibility Criteria will receive the following incentive items based on their First Order:

5. General Terms
   • By submitting to the promotion, you confirm that you are eligible to do so and eligible to claim any offer. The Promoter may require you to provide proof of eligibility.
   • A customer can only receive one set of the incentive items during the Promotional Period. If multiple orders meet the eligibility criteria, only one set of incentives will be provided per customer.
   • Entries on behalf of another person will not be accepted, and joint submissions are not allowed.
   • The promotion opens on 1st April 2025 and closes on 31st May 2025 (“Promotional Period”).
   • Incentive item fulfilment will take place between 1st May 2025 and 14th June 2025 (“Fulfilment Period”).
   • The incentive items are non-transferable and cannot be substituted for a cash alternative or used against an alternative product. Unless otherwise stated, discounts cannot be combined.
   • The incentive cannot be used in conjunction with any other offer or promotion.
   • The Promoter accepts no responsibility for incomplete or unsuccessful entries due to technical malfunctions, software failures, or network issues.
   • The Promoter reserves the right to replace the incentive with an alternative offer of equal or higher value if necessary due to unforeseen circumstances.
   • The Promoter’s decision regarding any aspect of the Promotion is final and binding, and no correspondence will be entered into regarding disputes.
   • Excluded products will not count towards any qualifying conditions for offers and will not benefit from any promotional discount. All promotions, including the Promotion, are subject to availability and while stocks last.
   • To the maximum extent permitted by law, the Promoter shall not be liable for any loss, damage or personal injury suffered by the participant as a result of participation in the Promotion.
   • The Promoter reserves the right to withdraw, amend, or temporarily suspend the Promotion at its absolute discretion without prior notice.
   • The Promoter reserves the right to modify and amend these terms and conditions at any time during the Promotion.
   • The Promotion and these terms are governed by English law and subject to the exclusive jurisdiction of the English and Welsh courts.
